NewCrits Terms & Conditions

Effective Date: September, 2026

1. Introduction

Welcome to NewCrits, LLC ("NewCrits," "we," "us," or "our"). NewCrits connects artists with established, practicing artists ("Mentors") for critique, mentorship, and education. We offer one-on-one sessions, group programs, courses, and public programming (together, the "Services") through our website at newcrits.studio (the "Website") and the third-party platforms we use to sell, schedule, and deliver them.

These Terms of Service and our Privacy Policy, available at [www.newcrits.studio/privacypolicy] and incorporated here by reference (together, the "Terms"), govern your use of the Website and the Services. "You" and "your" mean you as a visitor, as an artist who purchases or takes part in a Service (an "Artist"), or as a Mentor, as applicable. By completing a purchase, checking a box to accept these Terms, or otherwise using the Website or the Services, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE WEBSITE OR THE SERVICES. THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE REVIEW SECTIONS 17–19 CAREFULLY.

2. Changes to These Terms

We may update these Terms as our Services change. The current version will always be posted on the Website with its effective date, and changes apply from that date. A purchase you have already completed is governed by the Terms in effect when you made it. Continuing to use the Website or the Services after an update means you accept the revised Terms.

3. Eligibility and Privacy

Age. You must be at least 18 years old to purchase or take part in the Services. By using them, you confirm that you are 18 or older and that the information you give us is accurate and your own.

Minors. We do not knowingly collect personal information from anyone under 18. If we learn that we have, we will delete it promptly. If you believe a minor has given us personal information, please contact us.

Privacy. We collect and use your personal information as described in our Privacy Policy. Information and images of your work that you share to take part in a Service are used only to deliver that Service, unless you give us separate permission (see Section 11).

4. Our Services

NewCrits offers the following kinds of Services, which may change over time:

  • One-on-one sessions, including Intro Crits and Studio Mentorship, held online by video.
  • Group programs, including Group Crits and Reading Groups, held online or in person.
  • Courses: multi-week classes led by Mentors or guest faculty.
  • Public programming and resources, including talks, events, recordings, podcasts, newsletters, and downloadable guides.

Offer Details. Each Service's web page and checkout page describe its format, number and length of sessions, term, and price (the "Offer Details"). Offer Details are part of these Terms. If they conflict with these Terms, the Offer Details control for that Service.

Discovery calls. Some Services, including Studio Mentorship, are available only after a discovery call with NewCrits. We may decline an enrollment, or suggest a different Service, if we don't think it's the right fit.

Courses. Course participants may be asked to sign a Participant Agreement before the first class. If it conflicts with these Terms, the Participant Agreement controls for that course.

5. Third-Party Platforms and Accounts

We use third-party providers to take payment, schedule sessions, host course materials, and hold video calls [for example, Kajabi, Stripe, Zoom, and Google Meet]. Your use of those tools is also subject to their own terms and privacy policies. We are not responsible for their availability, performance, or data practices.

If you create an account on any platform we use, keep your login details secure. You are responsible for activity under your account, and you agree to keep your contact and payment information current.

6. Pricing and Payment

Prices. Prices are listed in U.S. dollars on each Service's checkout page. Applicable taxes may be added at checkout.

Payment. Payment is due in full at checkout unless a payment plan is offered, in which case each installment is due on its scheduled date. Payments are processed by our third-party payment processor. You authorize us and the processor to charge your chosen payment method for the full amount or for each installment.

Price changes and special pricing. We may change prices at any time; changes don't affect purchases already completed. We may offer promotional, early-enrollment, or returning-client pricing to some Artists. Those offers don't entitle anyone else to the same price.

Missed payments. If a payment is declined or an installment is missed, we may pause or end your access to the Service until the balance is paid.

How fees are shared. NewCrits pays Mentors for the Services they deliver and keeps a portion of each fee to run the Services.

7. Scheduling, Packages, and Rescheduling

Scheduling. After you purchase, you'll receive an email with next steps and a link to schedule your session or sessions.

Packages. Multi-session packages must be used within the term stated in the Offer Details (for example, three sessions within three months of purchase). Sessions not completed within that term have a grace period of 2 extra months, upon which the sessions expire.

Rescheduling by you. You may reschedule a one-on-one session at no charge with at least 24 hours' notice. With less than 24 hours' notice, or if you don't attend, the session counts as used.

If you arrive late, the session still ends at its scheduled time.

Rescheduling by a Mentor or NewCrits. If a Mentor or NewCrits needs to cancel a session, we'll reschedule it at no cost to you.

Group programs and courses. These run on a fixed schedule and aren't individually rescheduled. Missed sessions aren't refunded; if a recording is available, we'll share it with you.

8. Refunds

Fees are non-refundable once paid, except:

  • when a Mentor or NewCrits misses an appointment without rescheduling
  • where the Offer Details say otherwise; or
  • at NewCrits' discretion.

To request a refund, email info@newcrits.studio.

9. Mentors

Mentors are independent, practicing artists who work with NewCrits as independent contractors, not as employees, partners, or agents. The feedback, opinions, and recommendations a Mentor gives are their own professional perspective. Terms specific to Mentors are set out in separate agreements between NewCrits and each Mentor.

We select our Mentors carefully, but we don't guarantee any particular outcome from a Service, including exhibitions, sales, admissions, grants, or career results.

10. Conduct and Community Guidelines

Critique at NewCrits is built on critical care: honesty without cruelty, and generosity without vagueness. Everyone who takes part in a Service, including Artists, Mentors, faculty, and staff, agrees to:

  • treat others with respect, and give and receive feedback in good faith;
  • keep other participants' work and personal information confidential;
  • not record, screenshot, or share sessions, group discussions, or course materials without the consent of everyone involved;
  • not harass, discriminate against, threaten, or impersonate anyone; and
  • not use the Services to recruit participants for, or advertise, another business without our written consent.

You also agree not to use the Website or the Services unlawfully, or to interfere with them. That includes attempting unauthorized access, scraping or data-mining, introducing viruses or other harmful code, or overloading our systems.

We may remove anyone from a Service, without refund, for violating these guidelines.

11. Your Work and Content

You own your work. Sharing images, files, writing, or other materials with NewCrits or a Mentor ("Your Content") doesn't transfer any ownership to us or to the Mentor. Any feedback a Mentor gives on your work is yours to use for your own development only.

How we use it. You give NewCrits and your Mentor a limited license to view, store, and use Your Content only as needed to deliver the Service you purchased. We won't publish or publicly share Your Content without your permission.

If you choose to share publicly. If you opt to share Your Content publicly through NewCrits, for example in a testimonial, a featured work, or a recorded public event, you give NewCrits a non-exclusive, royalty-free license to display and share it, with credit, in connection with NewCrits' programs and promotion. You can ask us to stop future use at any time by emailing us.

Your responsibility. You confirm that you have the right to share Your Content and that it doesn't infringe anyone else's rights.

Suggestions. If you send us ideas or suggestions about how to improve NewCrits, we may use them freely without owing you anything.

12. Recordings and Likeness

One-on-one sessions are not recorded unless both you and your Mentor agree. Some public events, talks, and group programs may be recorded or photographed. We'll tell you in advance, and by attending you consent to appearing in those recordings and photos, which NewCrits may use to share and promote its programs. If you'd rather not appear, tell us before the event and we'll make reasonable efforts to accommodate you.

13. NewCrits Content and Trademarks

The Website, course materials, recordings, guides, the NewCrits name and logo, and other content we provide are owned by NewCrits or its licensors and are protected by copyright and trademark law. You may use course materials and resources for your own personal, non-commercial learning. You may not copy, resell, distribute, or publicly share them without our written permission.

14. Copyright Complaints

If you believe content on the Website infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. §512) to our designated agent that includes:

  • a description of the copyrighted work you claim is infringed;
  • where the material appears on the Website, including the exact URL;
  • your address, telephone number, and email address;
  • a statement that you have a good-faith belief the use isn't authorized by the copyright owner, its agent, or the law;
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and
  • your physical or electronic signature.

Designated agent: NewCrits, LLC, Attn: [Name], [Address], [legal@newcrits.studio or info@newcrits.studio].

We may end the access of anyone who repeatedly infringes others' rights.

15. Availability; Events Beyond Our Control

We use reasonable efforts to keep the Website and the Services available, but we don't guarantee uninterrupted access. We aren't liable for delays, cancellations, or failures caused by events beyond our reasonable control. These include illness, public health emergencies, natural disasters, severe weather, power or internet outages, failures of third-party platforms, cyberattacks, labor disputes, civil unrest, and government action. If such an event affects a session you've paid for, we'll work with you to reschedule it.

16. Disclaimers, Limitation of Liability, and Indemnification

Disclaimers. THE WEBSITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DON'T WARRANT THAT THE WEBSITE OR THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES, OR THAT ANY CONTENT IS COMPLETE OR ACCURATE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OF THIRD PARTIES, INCLUDING THE MISUSE OF YOUR WORK BY ANY THIRD PARTY.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, NEWCRITS AND ITS OWNERS, EMPLOYEES, MENTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SERVICES. THIS APPLIES WHETHER THE CLAIM IS IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID NEWCRITS IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).

State-specific rights. Some states and countries don't allow certain warranty exclusions or liability limits, so some of the above may not apply to you. If you are a California resident, you waive California Civil Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are a New Jersey resident, nothing in these Terms limits our liability for our negligence, gross negligence, or intentional conduct, or waives your right to attorneys' fees, to the extent New Jersey law doesn't allow it.

Indemnification. You agree to indemnify and hold harmless NewCrits and its owners, employees, Mentors, agents, and affiliates from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your misuse of the Services, or Your Content. We may take control of the defense of any such claim, and you agree to cooperate with us.

17. Dispute Resolution and Arbitration

Informal resolution first. If a dispute arises, contact us first. Both sides agree to negotiate in good faith for 30 days to try to resolve it.

Binding arbitration. If the dispute isn't resolved within 30 days, either party may begin binding arbitration. It will be administered by the American Arbitration Association ("AAA") under its applicable rules, before a single arbitrator, in Brooklyn, New York, or by video where the rules allow. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction, subject only to review under Sections 10 and 11 of the Federal Arbitration Act. Arbitration fees will be allocated as the AAA's rules require. Arbitration is confidential.

Exceptions. Either party may go to court, instead of arbitration, over claims involving intellectual property or violations of Section 10.

Time limit. Any claim must be brought within twelve (12) months after it arises, or it is permanently barred.

18. Class Action Waiver

To the extent permitted by law, any dispute will be resolved only on an individual basis. Neither you nor NewCrits will bring or take part in a class, collective, or representative action. No arbitration will be combined with another without the written consent of all parties involved.

19. Jury Trial Waiver

To the extent permitted by law, you and NewCrits each waive any right to a jury trial in any legal action arising out of or relating to these Terms.

20. Governing Law and Location

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Where litigation is permitted under these Terms, you and NewCrits agree to the exclusive jurisdiction of the state and federal courts located in Brooklyn (Kings County), New York.

NewCrits operates from the United States. If you use the Services from outside the U.S., you are responsible for complying with your local laws. You also agree to comply with all applicable U.S. export laws.

21. Communications

By purchasing a Service or giving us your contact information, you agree to receive emails from us about your purchases, sessions, and the Services, including legal and account notices. You may unsubscribe from marketing emails at any time using the link in any message. You will still receive messages about Services you've purchased.

22. General

Entire agreement. These Terms, the Privacy Policy, the Offer Details, and any Participant Agreement are the entire agreement between you and NewCrits about the Services. They replace any earlier versions.

Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any provision isn't a waiver of it.

Assignment. You may not transfer your rights under these Terms, including a purchased Service, without our written consent. We may assign these Terms, for example in connection with a merger or sale of the business.

Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NewCrits. There are no third-party beneficiaries.

Survival. Sections that by their nature should survive the end of these Terms will survive, including Sections 11 and 13 through 20.
